Design Street Studios - Digital Marketing Services Terms & Conditions



These Terms & Conditions ("Agreement") govern the provision of digital marketing services ("Services") by Design Street Studios ("Agency") to the client ("Client"). By engaging the services of the Agency, the Client acknowledges and agrees to comply with the following terms:


1. Service Fees

1.1 Service Charges: All services provided by Design Street Studios will be billed as per the agreed proposal or scope of work. Service charges may include, but are not limited to, website design, SEO services, content creation, paid advertising management, social media management, and consultation fees.

1.2 Initial Payment: A deposit of 50% of the total project cost is required before work begins, unless otherwise specified in the proposal.

1.3 Ongoing Services: For ongoing services such as SEO or social media management, payments will be invoiced on a monthly basis and are due within 7 days of the invoice date.


2. Payment Terms

2.1 Payment Schedule: For projects with multiple phases, payments must be made according to the agreed schedule, typically at project milestones or monthly for ongoing services.

2.2 Late Payments: If payment is not received within 7 days after the invoice due date, the Client will incur a late fee of 5% of the total invoice amount. Services may be paused until full payment is made.

2.3 Methods of Payment: Payments can be made via credit card, bank transfer, or any other method agreed upon between the Agency and Client.


3. Project Scope & Revisions

3.1 Scope of Work: The agreed-upon scope of work will be detailed in the proposal or service agreement. Any additional work outside of the original scope will be charged at an hourly rate, unless otherwise negotiated.

3.2 Revisions: The Client is entitled to two rounds of revisions per project or task. Any revisions beyond this will be subject to additional charges.


4. Service Delivery

4.1 Timeline: The Agency will deliver services according to the timeline outlined in the proposal. Delays caused by the Client, including delays in providing necessary materials or approvals, may impact the project schedule and will not be the responsibility of the Agency.

4.2 Force Majeure: Design Street Studios is not liable for any delay or failure in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, or technical disruptions.


5. Client Responsibilities

5.1 Content & Materials: The Client is responsible for providing any necessary materials, including but not limited to logos, brand guidelines, content, and other assets required to complete the project.

5.2 Approvals & Feedback: The Client must provide timely feedback and approvals throughout the project. Failure to do so may result in delays or additional fees.


6. Intellectual Property

6.1 Ownership: Upon full payment, the Client will retain ownership of all final deliverables. The Agency retains the right to use any deliverables for promotional purposes unless the Client explicitly requests otherwise.

6.2 Licenses: Any third-party materials or software used during the project remain the property of their respective owners, and the Client is responsible for complying with any applicable licensing agreements.


7. Termination

7.1 Termination by Client: The Client may terminate this Agreement at any time by providing 30 days' written notice. In the event of termination, the Client will be responsible for all work completed and expenses incurred up to the termination date.

7.2 Termination by Agency: The Agency reserves the right to terminate this Agreement if the Client fails to comply with the terms herein. All outstanding payments will be due immediately.


8. Confidentiality

8.1 Non-Disclosure: Both parties agree to keep confidential all proprietary information, trade secrets, and project details discussed during the course of the project.

8.2 Data Privacy: The Agency will take reasonable steps to protect the Client’s data and will not share personal or business information with any third party without consent.


9. Limitation of Liability

9.1 No Guarantees: The Agency does not guarantee specific results from its digital marketing efforts. While the Agency will strive to achieve the Client’s goals, performance is subject to factors beyond its control.

9.2 Liability Cap: The Agency’s total liability for any claims arising out of this Agreement shall not exceed the total amount paid by the Client for the specific services under which the claim arose.


10. Dispute Resolution

10.1 Mediation: Any disputes arising out of this Agreement shall first be attempted to be resolved through mediation before any legal proceedings.

10.2 Jurisdiction: This Agreement shall be governed by the laws of the state of Florida. Any legal action related to this Agreement shall be filed in the location where the Client is based.


11. Amendments

11.1 Changes to Terms: Design Street Studios reserves the right to modify these Terms & Conditions at any time, with any such changes communicated to the Client in writing. Changes will not apply retroactively to ongoing projects unless agreed upon by both parties.


12. Entire Agreement

12.1 Agreement: These Terms & Conditions, along with any associated proposal or service agreement, constitute the entire understanding between the Agency and the Client, superseding all prior discussions and agreements.


By engaging the services of Design Street Studios, the Client acknowledges and agrees to all the terms and conditions stated in this document.
